Term of sale

These Terms of Sale apply to all quotations, orders, and sales of goods provided by Adsan Industries (“Seller”). By placing an order, the Buyer agrees to be bound by these terms.

1. Orders and Quotations

  • All orders are subject to acceptance by Adsan Industries.

  • Quotations are valid for a period of 30 days from the date of issue unless otherwise stated, due to fluctuations in material costs (Industrial/Safety).

  • For Customized Corporate Gifts, production begins only after the Buyer provides written approval of the design mock-up.

2. Pricing and Payment

  • All prices are ex-works from our location in Dharashiv, unless otherwise negotiated.

  • GST: Goods and Service Tax will be charged extra as per applicable government rates.

  • Payment Terms: Standard terms require a 50% advance payment for customized or bulk orders, with the balance due prior to dispatch.

3. Shipping and Delivery

  • Delivery dates are estimates. Adsan Industries is not liable for delays caused by logistics partners or “Force Majeure” events.

  • Risk of loss passes to the Buyer once the goods are handed over to the carrier.

  • Registered Office for Pickup/Coordination: At Kherda, Tal. Kalamb, Dist. Dharashiv – Maharashtra – 413507.

4. Inspection and Returns

  • Industrial & Safety Material: Any shortages or damages must be reported within 48 hours of receipt.

  • Customized Gifts & Kids Wear: Items that have been customized with logos or specific branding are non-returnable and non-refundable unless there is a clear manufacturing defect.

  • Defective Goods: Our liability is limited to the replacement of the defective product or a credit note at our discretion.

5. Limitation of Liability

Adsan Industries shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the supplied materials. It is the Buyer’s responsibility to ensure safety materials meet their specific site requirements.

6. Governing Law

All transactions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dharashiv/Kalamb, Maharashtra.
